Introduction

Welcome to Advocacy Lab! These Terms of Service ("Terms") are a legal agreement between you ("User," "you," or "your") and Advocacy Lab LLC ("Advocacy Lab," "Company," "we," "us," or "our"), governing your access to and use of our website at https://advocacy-lab.ai, including all subdomains (collectively, the "Website"), and any related products or services we offer (collectively, the "Services").

By accessing or using our Website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Website or Services.

1. Eligibility

1.1 Legal Capacity

You must be at least the age of majority in your jurisdiction to use our Website or Services. By using our Services, you represent and warrant that you have the full right, power, and authority to enter into these Terms.

1.2 Business Use

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity and its affiliates to these Terms. If you do not have such authority, you must not use our Services on behalf of such entity.

2. Scope of Services

2.1 Description of Services

Advocacy Lab provides specialized AI solutions and ready-to-use legal technology modules ("AI platform"), including but not limited to deposition summarizers, RFP generators, ESI search term generators, discovery request tools, and other custom or "Day-One" modules as described on our Website or in separate agreements.

2.2 Customer Agreements

Your use of certain Services (e.g., custom AI solutions, enterprise deployments) may be governed by a separate, written Customer Agreement or Subscription Agreement with Advocacy Lab. In the event of a conflict between these Terms and any such separate agreement, the separate agreement will control.

2.3 No Legal Advice

Advocacy Lab does not provide legal advice. The output of our AI platform, as well as any content on the Website, is provided for informational or productivity purposes only. You acknowledge that you are responsible for any legal determinations or filings, and should consult a licensed attorney for legal advice.

3. Accounts and Security

3.1 Account Registration

In order to use certain Services, you may be required to create an account. You agree to provide accurate and complete information when you register and to update such information as necessary.

3.2 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials, and for all activities that occur under your account. If you believe your account has been compromised, contact us immediately at hello@advocacy-lab.ai.

3.3 Security Measures

We implement industry-standard security measures to protect your information. However, no method of data transmission or storage can be guaranteed 100% secure. You acknowledge that you provide and transmit data at your own risk.

4. Payment and Fees

4.1 Fees

If you purchase Services from us, including any paid subscription or custom AI development, you agree to pay all applicable fees in accordance with the payment terms presented to you at the time of purchase or in a separate Customer Agreement.

4.2 Billing and Payment

We may use third-party payment processors to collect fees. By providing your payment details, you authorize us to charge you for the agreed-upon fees. You remain responsible for any applicable taxes, such as sales or value-added tax, that may be due.

4.3 Refunds

Refunds, if any, will be subject to the terms and conditions outlined in the applicable Customer Agreement or as communicated in writing. Please contact hello@advocacy-lab.ai with any billing questions.

5. Intellectual Property

5.1 Advocacy Lab Ownership

All content, features, and functionality available through the Services (including text, graphics, software, algorithms, and trade secrets) are owned by or licensed to Advocacy Lab and are protected by intellectual property laws.

5.2 License to Use

Subject to these Terms, Advocacy Lab grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes only. You agree not to reproduce, distribute, or create derivative works from our materials without our express written permission.

5.3 Trademarks

All trademarks, logos, and service marks ("Marks") displayed on the Website are our property or the property of third parties. You are prohibited from using any Marks without the owner's written consent.

6. User Conduct

6.1 Prohibited Activities

When using the Services, you agree not to:

  • Violate any applicable law or regulation;
  • Infringe or misappropriate the intellectual property or privacy rights of others;
  • Access or attempt to access the accounts of other users without authorization;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Upload or transmit viruses, malware, or other harmful code;

You are solely responsible for any content you provide through our Services, including text or documents you upload. 7.1 Customer Data

If you enter into a separate Customer Agreement (or any other agreement) for our AI platform, that agreement will govern how we handle, store, or process data you upload. Advocacy Lab does not use customer-uploaded data to train our AI models, and we do not sell personal data.

7.2 Privacy Policy

Our Privacy Policy explains how we collect, use, and disclose information about you. By using our Services, you acknowledge that you have read our Privacy Policy.

8. Disclaimers

8.1 No Legal Advice

As stated above, the Services and any AI outputs are not a substitute for legal advice. Advocacy Lab is not a law firm, and our employees are not acting as your attorney. You should seek the advice of qualified legal counsel for any legal questions.

8.2 Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ADVOCACY LAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. ADVOCACY LAB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ADVOCACY LAB BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, EVEN IF ADVOCACY LAB KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ADVOCACY LAB'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO ADVOCACY LAB IN THE TWELVE (12) MONTHS BEFORE THE ACT GIVING RISE TO LIABILITY.

9.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain types of damages, so some of the above limitations in this section may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Advocacy Lab, its affiliates, officers, directors, employees, and agents, from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your infringement of any intellectual property or other right of any person or entity.

11. Termination

11.1 Termination by You

You may discontinue your use of the Services at any time by ceasing to access the Website and/or deleting your account (if applicable).

11.2 Termination by Advocacy Lab

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, the law, or any applicable regulations.

11.3 Effect of Termination

Upon termination, all rights granted to you under these Terms will cease, but the following sections will survive: 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and any other section which by its nature should survive termination.

12. Dispute Resolution; Governing Law

12.1 Governing Law

These Terms and any disputes related to them will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

12.2 Venue

Any action arising out of or relating to these Terms must be filed in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

We may update or modify these Terms from time to time. If we make material changes, we will post a notice on our Website or otherwise notify you. By continuing to use the Services after the effective date of the revised Terms, you agree to be bound by the updated Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, along with our Privacy Policy and any separate Customer Agreement, constitute the entire agreement between you and Advocacy Lab regarding your use of the Services, superseding any prior agreements.

14.2 Severability

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision will be severed, and the remainder of these Terms will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any provision of these Terms does not waive our right to do so at a later date.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time.
